Paralegal

CMG is seeking a versatile, experienced paralegal to join our expanding Legal team. This is a full-time, permanent position reporting to the General Counsel located in-office at CMG’s corporate head office near the University of Calgary in the city’s northwest community. The  ideal candidate will have prior experience supporting the board of directors of a public company, managing continuous disclosure matters and leading compliance with corporate policies.

Key Responsibilities

  • In collaboration with the General Counsel, supporting the company’s Board of Directors including building and managing agendas, meeting organization and coordination, preparation and circulation of meeting materials, post-meeting communication and action tracking.
  • In collaboration with the General Counsel, leading compliance with various continuous disclosure obligations and public company obligations and filings, including the annual information form and management information circular.
  • Managing the company’s global organization chart along with the governance functions of the legal entities including: managing all corporate filings, preparing meeting minutes and resolutions, managing any delegations of authority, etc.
  • Acting as the Company’s subject matter expert on SEDAR and SEDI and serving as the primary administrator of all filings. Preparing correspondence to the Toronto Stock Exchange, transfer agents and all relevant regulators.
  • Preparing corporate documents with respect to securities-related matters, including board and shareholder resolutions and forms.
  • Assisting with the M&A process including due diligence reviews, research into new corporate jurisdictions, etc.
  • Reviewing commercial contracts and managing the administration of certain corporate contracts, responding to formal correspondence, commissioning documents, etc.
  • Maintaining corporate and department records and calendars and managing the legal department’s document management systems.
  • Providing general administrative assistance to the Legal team and the CFO including organizing meetings, managing calendars, etc.

 

The above description describes the primary functions of the role but is not an all-inclusive list of responsibilities. All members of the Legal team are required to be flexible in their duties and available to provide assistance across business groups where required.

Knowledge, Skills & Experience

  • A minimum of 7 years experience working as a paralegal including at least 3 years working in a law firm. Experience also working in a corporate environment is a benefit but not a requirement;
  • Experience liaising with Executive & the Board of Directors is required;
  • Paralegal or legal assistant diploma required, minimum of CORES level 1 required;
  • Communicates in a clear and precise manner with a high level of accuracy and attention to detail;
  • Excellent time management skills employing good judgement with an ability to respond to urgent requests where required;
  • Demonstrates a team approach with an openness to supporting colleagues in other groups;
  • Ability to work in fast-paced, dynamic environment while managing multiple priorities;
  • Advanced computer skills; proficient with MS Word and Outlook;
  • Ability to create and foster positive relationships through multiple functions and business units;
  • Proactive in investigating and adopting new technologies;
  • Excellent problem solving skills and ability to identify problems and potential solutions, act decisively, and show good judgment.
